Buyer Agreement & License Terms
Diamond Global HealthcareCare Inc.
This Buyer Agreement (“Agreement”) governs the purchase and use of the NP Private Practice Tools templates, forms, and associated digital products (“Materials”) provided by Diamond Global HealthcareCare Inc. (“Licensor”). By completing a purchase, download, or accessing the Materials, the buyer (“Licensee”) agrees to the following terms:
1. License Grant
Licensor grants Licensee a single-user, non-transferable, non-exclusive commercial license to use the Materials solely for Licensee’s own clinical practice and internal business operations. All rights not expressly granted remain the sole property of Diamond Global HealthcareCare Inc.
2. Ownership of Intellectual Property
The Materials are proprietary to Licensor and protected by copyright, trade secret, and intellectual property laws. The Materials are licensed, not sold, and Licensee obtains no ownership rights.
3. Prohibited Conduct
Licensee shall not, under any circumstances:
• Reproduce, copy, sell, redistribute, or share the Materials
• Publish the Materials online, in printed form, or in any shared library
• Create derivative works or re-create the forms using the same language, structure, or layout
• Use the Materials to build or contribute to competing products
• Transfer, sublicense, or permit access to any third party
• Modify, remove, or obscure proprietary notices
• Use the Materials for educational resale, course bundles, or training programs without written permission
Any violation of these restrictions constitutes unauthorized use.
4. Enforcement and Legal Remedies
Unauthorized use will result in immediate license termination and may subject Licensee to legal action. Licensor is entitled to pursue: (a) injunctive relief; (b) statutory damages; (c) actual damages; (d) recovery of lost revenue; and (e) recovery of all attorneys’ fees, court costs, and enforcement-related expenses. Licensee agrees to indemnify and hold harmless Licensor from all damages resulting from Licensee’s misuse of the Materials.
5. No Transfer or Assignment
This license is granted solely to the individual or business entity that purchases the Materials and may not be assigned, sold, transferred, shared, or gifted. Any attempted transfer is void.
6. No Refunds
Due to the digital nature of the Materials, all purchases are final and non-refundable.
7. Acceptance of Terms
By purchasing, downloading, or using the Materials, Licensee acknowledges, understands, and agrees to all terms in this Buyer Agreement. Continued use constitutes ongoing acceptance.
8. Governing Law
This Agreement shall be governed according to the laws of the State of Delaware or the jurisdiction in which Licensee operates, unless otherwise required by law.
